I don’t understand what’s going to happen to my shares. Can you explain it to me?

The Scheme has been approved by the required majorities of Novae Shareholders at the Court and General Meetings held on 29 August 2017. It has been sanctioned by the Court and became effective on 2 October 2017 (the Effective Date). Your Novae Shares will be automatically transferred to AXIS and you will be sent the cash consideration in respect of your holding. You will be sent a cheque if you hold your Novae Shares in certificated form or a CREST payment will be made if you hold your shares in uncertificated form within 14 days of the Effective Date (2 October 2017).

Can shareholders view copies of documents about Novae?

Documents relating to the Acquisition are available on Novae’s website at www.novae.com.

When must I be on Novae’s register to be eligible to receive the Offer Price?

Any Novae Shareholders on the register of members at the Scheme Record Time which was 6.00 p.m. on 29 September 2017 will be eligible to receive the Offer Price under the terms of the Scheme.

What will I receive now that the Scheme is effective?

Novae Shareholders will receive 715 pence in cash per Novae Share.

When and how will I receive my cash?

If your Novae Shares are in certificated form, cash consideration to which you are entitled pursuant to the Acquisition will be paid in pounds sterling by cheque. The cheque will be dispatched not later than 14 days after the effective date (2 October 2017).
If your Novae Shares are in uncertificated form, the cash consideration to which you are entitled pursuant to the Acquisition will be paid through CREST as soon as practicable after the Effective Date and in any event within 14 days after the Effective Date (2 October 2017) in accordance with the CREST payment arrangements.

How will the cash consideration be treated for individual tax purposes?

Section 14 of Part II of the Scheme Document (page 26) sets out a general guide to potential tax considerations in relation to the Scheme.
